Terms of Service

GoldenDoko is a software platformthat lets independent merchants operate their own online stores. When you place an order, you're ordering from that merchant, not from GoldenDoko — they are responsible for fulfilling the order. We provide the technology that makes the sale possible. Think Shopify, not Amazon. These Terms describe what you can and cannot do on the platform, and what happens if something goes wrong.

By accessing or using GoldenDoko (the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms form a legal contract between you and GoldenDoko, an Ohio business ("we," "us," "our"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

GoldenDoko is a Software-as-a-Service (SaaS) platformthat enables independent businesses ("Merchants") to operate their own online stores. We provide:

• Storefront hosting and routing infrastructure
• Payment processing infrastructure (via Stripe Connect)
• Order management software
• Customer account management
• Analytics and reporting

We are NOT:

• A reseller of merchants' products
• The seller of record for orders placed on merchant storefronts
• The shipper or fulfiller of merchant orders
• A guarantor of product quality, accuracy, or availability

When you place an order with a Merchant on our platform, the contract for the sale is between you and that Merchant directly. We are not a party to that sale. We provide the technology that makes the sale possible. This distinction matters legally and we are explicit about it throughout these Terms.

You must be at least 18 years old to create an account. By creating an account, you represent that:

• You are 18 or older
• You have the legal capacity to enter into a binding contract
• You are not prohibited from using the Service under applicable law
• You will provide accurate, current, and complete information

We may refuse service, suspend accounts, or terminate accounts at our discretion.

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access at contact@goldendoko.com

We are not liable for losses caused by unauthorized use of your account before you notify us.

You may NOT:

• Share your account with another person
• Use someone else's account without authorization
• Create multiple accounts to evade restrictions

You agree NOT to:

• Use the Service for any unlawful purpose
• Violate any applicable law or regulation
• Infringe on intellectual property rights of others
• Upload or transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to the Service, other accounts, or our systems
• Use automated tools (bots, scrapers, crawlers) without prior written permission, except as permitted by our robots.txt
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Misrepresent your identity or affiliation
• Send spam or unsolicited communications through the Service
• Interfere with other users' use of the Service

We reserve the right to suspend or terminate accounts that violate these provisions.

Placing Orders

When you place an order through a Merchant's storefront:

• You are entering into a sales contract with that Merchant (not with GoldenDoko)
• Stripe processes the payment on the Merchant's behalf via Stripe Connect
• We retain a platform fee from the Merchant for use of the Service; this fee does not affect the price you pay
• You will receive an order confirmation from the Merchant (with GoldenDoko as the technical sender)

Pricing and Availability

Prices and product availability are set by the Merchant. We are not responsible for pricing errors, out-of-stock items, or inaccurate product descriptions on Merchant storefronts. Contact the Merchant directly for product-related questions.

Taxes

Applicable sales tax is calculated and collected at checkout where required by law. Merchants are responsible for tax collection in jurisdictions where they have nexus.

Refunds and Returns

Returns and refunds are handled by the individual Merchant according to their own policies. Each Merchant must publish their return policy on their storefront. If you have a dispute with a Merchant about a refund:

• First contact the Merchant directly
• If unresolved, you may dispute the charge with your card issuer (chargeback)
• We may assist in mediating disputes but are not obligated to resolve them

GoldenDoko operates a multi-tenant platform where each Merchant has their own branded storefront, often at their own custom domain. This means:

• You may use the same account across multiple Merchants on the platform
• When you visit a Merchant's domain, you are using GoldenDoko's software branded by that Merchant
• Each Merchant sees only their own customers and orders — they cannot see your activity with other Merchants
• We are the operator of the underlying platform; the Merchants are the operators of their individual storefronts

GoldenDoko's Rights

The Service, including all software, design, text, graphics, logos, and other content created by GoldenDoko, is owned by us and protected by copyright, trademark, and other intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You receive no other rights.

Merchant Content

Products, descriptions, images, and other content posted by Merchants on their storefronts are owned by those Merchants (or their licensors). We have a license from each Merchant to display their content as part of the Service.

Your Content

When you post content on the Service (e.g., product reviews, support messages), you retain ownership but grant us a worldwide, royalty-free license to use, display, and distribute that content as necessary to provide the Service. You represent that you have the right to grant this license.

You agree not to post:

• Defamatory, abusive, or harassing content
• Content that infringes intellectual property rights
• False or misleading reviews
• Personal information of others without their consent

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant:

• That the Service will be uninterrupted or error-free
• That defects will be corrected
• That the Service is free of viruses or harmful components
• That any Merchant's products will meet your expectations
• The accuracy of Merchant-provided product information

Some jurisdictions do not allow the exclusion of certain warranties; some exclusions above may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

GoldenDoko is not liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Lost profits, lost data, or business interruption
• Damages arising from products purchased through Merchants
• Damages arising from the acts or omissions of Merchants
• Damages arising from third-party services (Stripe, Supabase, Cloudflare, Resend)

Our total liability to you for any claim arising from your use of the Service is limited to the greater of:

• The amount you paid GoldenDoko in the 12 months preceding the claim (typically zero, since users do not pay GoldenDoko directly)
• $100

This limitation applies regardless of the legal theory (contract, tort, statute, or otherwise) and even if we have been advised of the possibility of such damages.

You agree to defend, indemnify, and hold harmless GoldenDoko, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party right (including intellectual property and privacy rights)
• Content you post on the Service

This obligation survives termination of these Terms.

By You

You may delete your account at any time by emailing contact@goldendoko.com. Deletion is subject to retention requirements described in our Privacy Policy (e.g., we retain order records for tax purposes).

By Us

We may suspend or terminate your access to the Service at any time, for any reason, including:

• Violation of these Terms
• Fraud or abuse
• Court order or legal requirement
• Inactivity (24+ months)
• At our discretion, with notice

Effect of Termination

Upon termination, your right to use the Service ends. Provisions that by their nature should survive (Limitation of Liability, Indemnification, Disputes) will survive.

Informal Resolution

Before filing any legal claim, you agree to contact us at contact@goldendoko.com and attempt to resolve the dispute informally. We commit to a good-faith response within 30 days.

Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles.

Jurisdiction

Any legal action arising from these Terms shall be brought in the state or federal courts located in Stark County, Ohio, or such other Ohio court as has proper jurisdiction. Both parties consent to personal jurisdiction in those courts.

Class Action Waiver

To the extent permitted by law, you and GoldenDoko agree to resolve disputes individually and waive any right to participate in a class action, class arbitration, or other representative proceeding.

We may update these Terms from time to time. When we do:

• Material changes will be announced via email and a banner on the Service for at least 14 days before taking effect
• Non-material changes (clarifications, typos) may be made without prior notice
• Continued use after the effective date constitutes acceptance

If you do not agree to updated Terms, you may delete your account.

Entire agreement

These Terms (together with our Privacy Policy, Cookie Policy, and any other policies referenced) constitute the entire agreement between you and us regarding the Service.

Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.

Waiver

Our failure to enforce a right or provision does not waive that right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force majeure

Neither party is liable for failures caused by events beyond reasonable control (acts of God, war, pandemic, government action, internet outage).

No agency

Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and us, or between you and any Merchant.
